COTI V2 NFT and Node Licenses - Terms & Conditions
Introduction
These Terms & Conditions (the "Terms") constitute a legally binding agreement between you ("User," "you," or "your") and CV2 Innovation Limited ("Company," "we," "us," or "our"), governing the usage of COTI V2 Node Licenses issued as non-fungible tokens (each, an “NFT”), which function solely as network access credentials for operating a validator node and/or facilitating treasury within the COTI network (the "Services"). By accessing or using the Services, you agree to comply with and be bound by the terms and conditions set forth in these Terms. If you do not agree to these terms, you must not use the Services.
These Terms apply to you if you: Mint, purchase, acquire, or hold a NFT; Use a NFT to operate a validator node or manage a COTI treasury smart contract; Interact with any part of the protocol infrastructure operated, maintained, or governed by CV2 or the COTI Foundation, including but not limited to staking mechanisms, validator dashboards, APIs, UIs, or smart contracts related to NFTs or COTI treasury pools.
These Terms do not apply to ones who merely download or use open-source code from public repositories (such as GitHub) unless and until they engage in one of the activities described above. Certain components of the COTI V2 protocol, including node software and smart contracts, are made available under open-source licenses, such as the Apache License, Version 2.0, and Nothing in these Terms modifies or overrides your rights under such licenses.
Eligibility and Compliance
The Services are only available to individuals who are at least 18 years old and have the legal capacity to enter into and perform contractual obligations under the laws applicable to them.
The Services are not offered or intended for use by individuals or entities in any jurisdiction where the sale or purchase of NFTs or similar digital assets is restricted or prohibited by law. You are prohibited from accessing or using the Services if you are a resident or citizen of any jurisdiction listed in the Prohibited Jurisdictions as defined below.
You agree to comply with all applicable laws, including those related to anti-money laundering (AML), counter-terrorism financing (CTF), and economic sanctions. You acknowledge and agree that it is your responsibility to ensure that your use of the Services is legal in your jurisdiction.
Operators manage their node and treasury settings via a dedicated Node Dashboard, which also facilitates minting and managing Node NFTs.
User Representations and Warranties
By using the Services, you represent and warrant that: 
You have full power, authority, and capacity to enter into these Terms and to perform all of your obligations hereunder.
The digital assets and funds you use to purchase the NFT(s) are legally and beneficially owned by you, and they do not originate from any illegal activity, including money laundering or terrorist financing.
You will not engage in any activity that is fraudulent, illegal, or otherwise prohibited by these Terms or any applicable law, regulation, or rule.
Accuracy of Information: All information you provide to us is accurate, complete, and not misleading.
You are responsible for any transaction fees, gas fees, or other costs associated with the purchase or usage of NFT licenses. 
All NFT-related transactions are executed via blockchain smart contracts and are final, immutable, and non-reversible.
These apply to use of the COTI Node software in connection with validator access, license rights, and treasury operation. This is separate from the Apache 2.0 license which governs the source code only.
You acknowledge that any metadata may be stored publicly on-chain.
Prohibited Jurisdictions
You are prohibited from accessing or using the Services if you are located, incorporated, or otherwise established in, or are a citizen or resident of:
Countries or regions subject to comprehensive international sanctions, including but not limited to North Korea, Iran, Syria, Sudan, Crimea, and Cuba.
Countries identified by the Financial Action Task Force (FATF) as high-risk or non-cooperative jurisdictions.
Any other jurisdiction where the sale, purchase, or usage of the NFTs (and their functionality) is restricted or prohibited by law.
Risk Disclosures
The market for NFTs and digital assets is highly volatile and speculative. You acknowledge and accept that there is no guarantee of future value or liquidity.
The legal status of NFTs and digital assets is uncertain and evolving. Changes in laws or regulations may adversely affect the use the NFTs, and you assume all risks associated with such changes.
The Services rely on blockchain technology, which is subject to risks including, but not limited to, software bugs, hacking, and network disruptions. You acknowledge and accept the inherent risks associated with blockchain technology.
The Company does not guarantee any returns, profits, or income from your NFT. Any potential for earning rewards is contingent upon your active participation and the performance of the COTI V2 network.
The NFT does not confer any ownership, equity, revenue-sharing, voting rights, or any expectation of profits derived from the efforts of others. It solely grants access to operate a validator node on the COTI V2 network infrastructure and/or manage a corresponding Treasury smart contract.
Wallet Integration and Security
The Services are designed to integrate with non-custodial digital wallets, which means that you are solely responsible for managing and securing your private keys, passwords, and any other credentials related to your wallet.
You agree to implement and maintain appropriate security measures to protect your wallet and associated digital assets.
The Company is not liable for any loss or damage resulting from unauthorized access to your wallet, the NFTs, hacking, phishing, or other forms of cyberattacks. You assume full responsibility for any losses incurred due to security breaches.
Intellectual Property
All content, trademarks, logos, and intellectual property associated with the COTI V2 platform are the exclusive property of the Company or the COTI Foundation. You may not use, reproduce, or distribute any content from the platform without the Company's express written consent.
By submitting any content to the Company, including feedback, comments, or suggestions, you grant the Company a perpetual, irrevocable, royalty-free, and worldwide license to use, reproduce, modify, and distribute such content in any manner.
The Company is not responsible for the third-party websites or resources or content, or services provided by these third parties and does not endorse or assume any liability for their activities.
Dispute Resolution
Any disputes arising out of or relating to these Terms or the use of the platform will be resolved through binding arbitration in the British Virgin Islands (BVI), under the rules of the International Chamber of Commerce (ICC). The arbitration will be conducted in English, and the arbitrator's decision will be final and binding.
By using or holding the NFT, you hereby agree to these Terms, and you waive your right to participate in any class action lawsuit or class-wide arbitration. All disputes must be resolved on an individual basis.
The Company reserves the right to seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent any breach of these Terms.
Limitation of Liability
The Services and all NFTs are provided on an "as is" and "as available" basis. The Company makes no warranties, express or implied, regarding the platform's functionality, availability, or the value of any NFT.
To the fullest extent permitted by law, the Company disclaims any liability for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the platform or the purchase of NFT licenses, including but not limited to loss of profits, data, or business interruption.
In no event will the Company's total liability to you for all claims arising out of or relating to these Terms exceed the total amount of $15.
Nothing in these Terms shall be construed as financial advice, investment solicitation, or a guarantee of token value appreciation. The NFT is not a regulated product and is not offered for investment purposes. Users are solely responsible for determining whether participation in the COTI Network is appropriate given their objectives and risk tolerance.
Node Dashboard
The Company provides a dashboard interface to facilitate node management, license assignment, and NFT interactions. Use of the dashboard is subject to these Terms.
By using the dashboard, you acknowledge that certain actions (including node minting and metadata updates) may result in permanent on-chain records.
The Company does not guarantee uninterrupted dashboard access or compatibility with all devices.
Amendments
The Company reserves the right to amend these Terms at any time. Any changes will be effective immediately upon posting them.
Governing Law
These Terms and any disputes arising out of or in connection with them are governed by the laws of the British Virgin Islands (BVI), without regard to its conflict of law principles.
Severability: 
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will continue in full force and effect.
Entire Terms
These Terms, together with any other legal notices or agreements published by the Company, constitute the entire agreement between you and the Company regarding your use of the NFT licenses. It supersedes any prior agreements, communications, or understandings, whether written or oral, between you and the Company.
